Digital Wallet Terms and Conditions


These terms and conditions (the “Terms”) for attaching your United Mississippi Bank debit card (“UMB Debit Card”) virtually to a digital storage system (“Mobile Wallet”) apply when you choose to add a UMB Debit Card to a Mobile Wallet. In these Terms, you and your refer to any person that seeks to add a UMB Debit Card to any Mobile Wallet, and we, us, our, and United Mississippi Bank refer to the issuer of your UMB Debit Card. When you add a UMB Debit Card to the Mobile Wallet, you agree to these Terms. These Terms form a part of and are in addition to the UMB Online Banking Agreement, Mobile Banking Agreement, Business Debit Card Agreement, Electronic Funds Transfer Act Disclosure, and the Deposit Account Terms and Conditions.

1. Adding your UMB Debit Card.
You can add an eligible UMB Debit Card to the Mobile Wallet by following the instructions of the Mobile Wallet provider. Only UMB Debit Cards that we indicate are eligible can be added to the Mobile Wallet. If your UMB Debit Card or underlying account is not in good standing, that UMB Debit Card will not be eligible to enroll in the Mobile Wallet. When you add a UMB Debit Card to the Mobile Wallet, the Mobile Wallet allows you to use the UMB Debit Card to enter into transactions where the Wallet is accepted. The Mobile Wallet may not be accepted at all places where your UMB Debit Card is accepted. Any limits we place on frequency or dollar amount of
your UMB Debit Card transactions will also apply to Mobile Wallet transactions.

2. Your UMB Debit Card Terms Do Not Change.
The terms and account agreement that govern your UMB Debit Card do not change when you add your UMB Debit Card to the Mobile Wallet. The Mobile Wallet simply provides another way for you to make purchases with the UMB Debit Card. Any applicable interest, fees, and charges that apply to your UMB Debit Card will also apply when you use the Mobile Wallet to access your UMB Debit Card. United Mississippi Bank does not charge you any additional fees for adding your UMB Debit Card to the Mobile Wallet or using your UMB Debit Card in the Mobile Wallet. The Mobile Wallet provider and other third parties such as wireless companies or data service providers may charge you fees.

3. United Mississippi Bank is Not Responsible for the Mobile Wallet.
United Mississippi Bank is not the provider of the Mobile Wallet, and we are not responsible for providing the Mobile Wallet service to you. We are only responsible for supplying information securely to the Mobile Wallet provider to allow usage of UMB Debit Card in the Mobile Wallet. We are not responsible for any failure of the Mobile Wallet for any transaction. We are not responsible for the performance or non-performance of the Wallet provider or any other third parties regarding any agreement you enter into with the Mobile Wallet provider or associated third party relationships that may impact your use of the Mobile Wallet. You acknowledge that you have read and accepted the terms and conditions of the Mobile Wallet by requesting that your UMB Debit Card be added to the Mobile Wallet.

4. Contacting You Electronically, and by Email
You consent to receive electronic communications and disclosures from us in connection with your UMB Debit Card and the Mobile Wallet. You agree that we can contact you by email at any email address you provide to us in connection with any United Mississippi Bank account. It may include contact from companies working on our behalf to service your accounts. You agree to update your contact information with us when it changes. By accepting these Terms and Conditions, you agree that it is subject to the federal Electronic Signatures in Global and National Commerce Act (“E-SIGN”). Continued use of a UMB Debit Card in a Mobile Wallet requires that you agree to receive all Notices electronically. If you prefer to receive paper Notices, you have the right to withdraw your consent in which case we may terminate your use of the UMB Debit Card in a Mobile Wallet.

5. Removing Your UMB Debit Card from the Mobile Wallet.
You should contact the Mobile Wallet provider on how to remove a UMB Debit Card from the Mobile Wallet. We can also block a UMB Debit Card in the Mobile Wallet from purchases at any time.

6. Governing Law and Disputes.
These Terms are governed by federal law and, to the extent that state law applies, the laws of the state that apply to the agreement under which your UMB Debit Card is covered. Disputes arising out of or relating to these Terms will be subject to any dispute resolution procedures in the UMB Electronic Funds Transfer Act Disclosure
and Business Debit Card Agreement.

7. Ending or Changing these Terms; Assignments
We can terminate these Terms at any time. We can also change these Terms, or add or delete any items in these Terms, at any time. We will provide notice if required by law. We can also assign these Terms. You cannot change these terms, but you can terminate these Terms at any time by removing all UMB Debit Cards from the Mobile Wallet. You may not assign these Terms.

8. Privacy
Your privacy and the security of your information are important to us. The Consumer Privacy Notice (available online at https://www.unitedms.bank/privacy-policy) applies to your use of your UMB Debit Card in the Mobile Wallet. You agree that we may share your information with the Mobile Wallet provider, a payment network, and others in order provide the services you have requested, to make information available to you about your UMB Debit Card transactions, and to improve our ability to offer these services. This information helps us to add your UMB Debit Card to the Mobile Wallet and to maintain the Mobile Wallet. We do not control the privacy and security of your information that may be held by the Mobile Wallet provider, and that is governed by the privacy policy given to you by the Mobile Wallet provider.

9. Notices
We can provide notices to you concerning these Terms and your use of a UMB Debit Card in the Mobile Wallet by posting the material on our website, or through electronic notice given to you by the provider. For questions, disputes, or complaints about your UMB Debit Card, contact us at 1-877-709-7070.

10. Security
You are responsible for keeping your wireless mobile device and the application private and secure from unauthorized use. After obtaining the Mobile Wallet application, you should secure your wireless mobile device with the same care you would your UMB Debit Card, cash, checks and other personal identification numbers and passwords in order to avoid unauthorized use of your UMB Debit Card account(s). If you share your credentials with any other person, they may be able to use your mobile device and get access to the Mobile Wallet service. You should call us immediately if you believe your wireless mobile device or authentication credentials have been lost, stolen or compromised in any way or if an unauthorized person has used or may use your credentials without your authorization.

11. Limitation of Liability
EXCEPT AS OTHERWISE PROVIDED BY LAW, IN NO EVENT SHALL UMB, ITS DIRECT OR INDIRECT SUBSIDIARIES, AFFILIATES, AGENTS, EMPLOYEES OR REPRESENTATIVES BE LIABLE FOR DEATH, PERSONAL INJURY, PROPERTY DAMAGE, OR ANY INCIDENTAL, SPECIAL, INDIRECT, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF OR DAMAGE TO DATA, BUSINESS INTERRUPTION OR ANY OTHER COMMERCIAL OR FINANCIAL DAMAGES, LOST REVENUES, OR OTHER LOSSES OF ANY KIND, ARISING OUT OF THESE TERMS OF USE OR IN ANY WAY RELATED TO YOUR USE OR INABILITY TO USE ANY UMB DEBIT CARD WITH THE WALLET SERVICE, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH 5 DAMAGES. THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
NOTHING IN THESE TERMS OF USE SHALL OPERATE SO AS TO EXCLUDE OR LIMIT OUR OR OUR SUPPLIERS' LIABILITY FOR ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE LAW. Federal law and the laws of certain states or other jurisdictions may not allow the exclusion or limitation of certain damages. If these laws apply, some or all of the above exclusions or limitations may not apply to you, and you may have rights in addition to those contained in these Terms.
This Section shall survive any termination of these Terms.

12. Disclaimers of Warranties
You expressly acknowledge and agree that the use of the Wallet is at your sole risk. To the extent permitted by applicable law, the ability to use your UMB Debit Card with the Mobile Wallet is provided to you "as is" and "as available,” with all defects that may exist from time to time and without warranty of any kind, and United Mississippi Bank, on behalf of itself and its suppliers, hereby disclaims all warranties and conditions with respect to the Mobile Wallet, whether express, implied or statutory, including, but not limited to, the implied warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement of third party rights. We, on behalf of ourselves and our suppliers, also do not warrant against interference with your enjoyment of the Mobile Wallet, or that the functions contained in the Mobile Wallet service, or services performed or provided by the Mobile Wallet provider, will meet your requirements, that the operation or availability of the Mobile Wallet will be uninterrupted or error-free, or that defects in the Mobile Wallet will be corrected. No oral or written information or advice given by United Mississippi Bank, any of its authorized representatives or any third party shall create any warranty to you.
Access, use and maintenance of the Mobile Wallet depend on the Mobile Wallet provider and the networks of wireless carriers. United Mississippi Bank does not operate the Mobile Wallet service or such networks and has no control over their operations. United Mississippi Bank will not be liable to you for any circumstances that interrupt, prevent or otherwise affect the functioning of the Mobile Wallet, such as unavailability of the Mobile Wallet service or your wireless service, communications, network delays, limitations on wireless coverage, system outages, or interruption of a wireless connection. United Mississippi Bank disclaims any responsibility for the Mobile Wallet service or any wireless service used to access, use or maintain the Mobile Wallet.
Use of the Mobile Wallet involves the electronic transmission of personal information through third party connections. Because we do not operate or control these connections, we cannot guarantee the privacy or security of these data transmissions. Additionally, your supported wireless mobile device's browser is generally pre-configured by your wireless carrier. Check with the Mobile Wallet provider and your wireless carrier for information about their privacy and security practices. For personal or confidential information sent to or from United Mississippi Bank over the internet from your supported wireless mobile device, we reserve the right to limit such connections to "secure sessions" that have been established using transportation layer security or other security standards we select.
We make no guarantees about the information shown in the Mobile Wallet service. We also are not responsible for your supported wireless mobile device or the software or hardware it contains and make no representations, warranties, or guarantees regarding the same.
